Terms of Service

Effective Date: April 22, 2026 These Terms of Service (“Terms”) govern your use of cityvero.com and related services (the “Platform”), operated by CityVero LLC (“CityVero,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to these Terms.

What CityVero is

CityVero operates an editorial directory and information services platform. We curate and verify local business listings and publish editorial content. We are not a broker, agent, or representative for any listed business.

Editorial nature of listings

Business listings on the Platform reflect our editorial judgment based on information provided by the listed business and our verification process. We stand behind our verification work, but we do not guarantee the performance, quality, or conduct of any listed business. Your engagement with any listed business is between you and that business.

Institutional partners

Three categories on the Platform are reserved for exclusive institutional partners with full ownership disclosure (see About and Verification pages). You are never required to use these partners; you may browse, contact, or engage any other business on the Platform or outside it. When you submit a request triggering a share with an institutional partner (such as a Business Health Review or Financial Review), the data flow is disclosed at the point of submission.

Account registration

To list a business, register as a realtor partner, activate a CityVero Key, or use certain other features, you must create an account. You agree to provide accurate information and to keep it current. You are responsible for maintaining the confidentiality of your account credentials.

Vendor listings and verification

Listed businesses agree to provide accurate information for verification. We may suspend or remove a listing that fails verification, violates these Terms, or engages in conduct inconsistent with the Platform’s editorial standards. Listing fees are non-refundable except as expressly stated in the applicable subscription tier description.

Realtor partnership program

Realtors who participate in the CityVero Key program agree to deliver Keys only to genuine new homeowner clients in good faith and to comply with applicable real estate professional standards. We may suspend participation for misuse.

CityVero Key

The CityVero Key is a physical NFC welcome card delivered to new homeowners at closing by realtor partners. Activation is voluntary. The Key directs users to the Platform; it does not create any contractual relationship between the homeowner and any business listed on the Platform.

Payments

Subscription fees and Key activation fees are processed by Stripe. Subscriptions are billed as described in the applicable tier. Refund policy: verified-tier annual subscriptions are non-refundable after the first 14 days; founding-tier and editor-list payments are non-refundable.

Acceptable use

You agree not to: Use the Platform to harass, defame, or harm any listed business, partner, or other user. Submit false, misleading, or fraudulent information. Reverse-engineer, scrape, or systematically extract Platform content for commercial purposes without our written permission. Interfere with the Platform’s operation or security. Use the Platform for any unlawful purpose.

Intellectual property

CityVero, the CityVero name and logo, the Platform’s editorial content, and the directory structure are owned by CityVero LLC. Listed businesses retain ownership of their submitted information; by listing, they grant us a license to display, edit for editorial consistency, and promote their listing on the Platform.

Disclaimers

The Platform is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant the accuracy, completeness, or reliability of any listed business’s services, products, or representations. Verification is editorial, not a guarantee.

Limitation of liability

To the maximum extent permitted by law, CityVero LLC is not liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the Platform. Our total liability for any claim related to the Platform shall not exceed the greater of (a) the amount you paid us in the 12 months before the claim or (b) one hundred dollars ($100).

Indemnification

You agree to indemnify and hold harmless CityVero LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney’s fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any third party’s rights.

Governing law and dispute resolution

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms or the Platform shall be resolved by binding arbitration in Monmouth County, New Jersey, under the Commercial Arbitration Rules of the American Arbitration Association. You and CityVero waive the right to a jury trial and to participate in any class action. If arbitration is unavailable or unenforceable for any claim, that claim shall be brought exclusively in the state or federal courts located in Monmouth County, New Jersey.

Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

Termination

We may suspend or terminate your access to the Platform for violation of these Terms or for any other reason at our sole discretion. You may close your account at any time by contacting [email protected].
